Election of Directors

Update Week Commencing 6th June 2022

The deadline for submissions to become a Club Director has now passed and two nominations have been received. They are Paul Bostock and Nigel Headley. 

As two additional Directors are required we no longer require a vote. We can now move to a Emergency General Meeting (EGM) on 30th June 2022 at 7:30pm for members to ratify result.

The Board would like to thank Paul and Nigel for their submissions and look forward to welcoming them to the Board once ratified on the 30th June 2022 at 7:30pm. We hope as many members as possible will be able to attend.

Below are short bio from both submissions

NIGEL HEADLEY

I first joined St Andrews rugby club in 1996 with my sons George and William ( then aged  8 and 6 ) to assist with their training as dads had to do in those days. After several years of involvement I then became Chairman of the Minis and Juniors. With fond memories, on Sunday mornings I became involved in looking after the Minis and Juniors welfare along with James, Lorraine and a few others in providing refreshments for the boys and their families. I have owned two very successful businesses of which I am now retired from, one of them being the Friendly Inn at Frankton of which my wife and I sponsored the club for many years. Throughout this time I remained involved with St Andrews as much as my businesses would allow me to. Due to my retirement I now feel that I can dedicate more time to St Andrews in helping the club to move forward. After all these years of following the club it would be a privilege to be elected onto the board of directors.

PAUL BOSTOCK

My name is Paul Bostock. I started playing for St Andrews when I was 16, for the first Colts team. I went on to play for more than 25 years and more than 300 games for the 1st team. I've had two stints on the committee. During the first I was honoured to be awarded the Charlie Bentley 'Clubman of the Year'.

Professionally, I worked for JLR for 30 years, ending as a Senior Engineering Manager running a department with 170 people. Whilst there, I gained my first degree in engineering and my second (masters degree) in Business Administration. I now work for the London Electric Vehicle Company in Coventry where I am Head of Electrical and Propulsion Engineering. 

St Andrews RFC has always been there for me and it would be fantastic to be elected as a director and support the committee as we move the club into the future.

At the Annual General Meeting on Thursday 19th May it was agreed that we would elect two additional directors to join the Board in July.

The elected directors will serve for 3 years after which they will stand down and will be available for re election

Accordingly we are seeking nominations with proposers and seconders for two new directors. Each nominee should provide a brief CV outlining their skill set to achieve the requirements in the Directors duties (below) and a commitment to serve the 3 year tenure.

  4. Week commencing Monday 27th June  review election results and publish for end of June

Rugby St Andrews RFC - Directors Duties

The role of a company director comes with a number of legal responsibilities, which are set out in the Companies Act 2006 and defined in the company’s articles of association.

Appointed by members (shareholders or guarantors), directors are tasked with managing day-to-day business activities, company finances, and administrative functions on behalf, and for the benefit, of these members.

General duties of a company director

Under the Companies At 2006 (sections 171-177), a company director has 7 general duties, which are based on certain common law rules and equitable principles. These important statutory duties are:

1. To act within powers

A director must act in accordance with the decision-making powers defined in the company’s articles of association (‘constitution’), which is a governing document that outlines the rules and regulations for running the company.

2. To promote the success of the company

A director must act in good faith and in a manner that he/she considers most likely to promote the company’s success for the benefit of its members as a whole.

In doing so, a director must have regard for the consequences of his/her decisions on other stakeholders, including employees, creditors, suppliers, customers, and communities, as well as considering the impact on the environment, the reputation of the company, and the long-term success of the business.

3. To exercise independent judgment

A company director must exercise independent judgment by developing an informed view on the activities of the business, rather than simply enacting the demands of majority shareholders or other beneficial parties.

4. To exercise reasonable care, skill, and diligence

Company directors must exercise reasonable care, skill, and diligence whilst carrying out all functions of the role.

5. To avoid conflicts of interest

Company directors must avoid or manage all situations in which they have, or may have, conflicts of interest that could affect their objectivity and loyalty to the company.

6. Not to accept benefits from third parties

A director must not accept any benefits from third parties that are given because he/she is a director, or as a result of doing (or refraining from doing) anything as director.

7. To declare interest in proposed transaction or arrangement

8. To attend meetings on a quarterly basis and lead or assist on projects required by the club.

9. Attend key events and fixtures in the club calendar
